0.1 Overview

Welcome to EMRC21 – Egyptian Medical Research Center (“EMRC21”, “we”, “our”, or “us”).

These Terms are drafted in the English language and shall be interpreted according to the plain and ordinary meaning of their wording.

Headings are for convenience only and do not affect interpretation.

Where the context requires, words in the singular include the plural and vice versa.

  • Course fees are displayed in Egyptian Pounds (EGP) unless otherwise indicated.

5.1. Refund Policy

  • Refunds will only be issued if EMRC21 cancels or discontinues a course.
  • Once course materials or videos have been accessed, no refunds will be granted, except as required by Egyptian consumer protection law.
  • Refunds, where applicable, will be processed using the original payment method.

 

6. Intellectual Property Rights

All intellectual property rights in and to the website, including but not limited to text, videos, slides, course materials, graphics, logos, and trademarks, are the exclusive property of Egyptian Medical Research Center (EMRC21) or its licensors.

You must not, without written consent from EMRC21:

15. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt.
Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the Egyptian courtslocated in Cairo.

15.1 Governing Law

These Terms and Conditions, as well as any dispute, claim, or controversy arising from or relating to their subject matter, validity, interpretation, formation, performance, or termination (collectively, the “Dispute”), shall be governed by and construed in accordance with the laws of the Arab Republic of Egypt, without giving effect to any choice or conflict of law principles that would cause the application of the laws of any other jurisdiction.

All rights and obligations of the parties under these Terms shall therefore be interpreted exclusively according to Egyptian substantive and procedural law, including relevant civil and commercial legislation.


 

15.2 Mediation and Arbitration (Optional Alternative Dispute Resolution)

a. Mediation:

Upon mutual agreement, the parties may refer any unresolved Dispute to amicable mediation conducted in Cairo, Egypt, before a qualified mediator approved by both parties.

Mediation shall be confidential, and all communications made during mediation shall be privileged and inadmissible in subsequent proceedings.

b. Arbitration:

If mediation fails or if both parties agree to bypass mediation, the Dispute may be submitted to binding arbitration in Cairo under the rules of the Cairo Regional Centre for International Commercial Arbitration (CRCICA), unless otherwise agreed in writing.

  • The arbitration tribunal shall consist of one (1) arbitrator, unless both parties agree to three (3).
  • The language of arbitration shall be English or Arabic, as agreed by the parties.
  • The arbitral award shall be final and binding, enforceable in accordance with Egyptian Arbitration Law No. 27 of 1994.

Nothing in this clause shall prevent EMRC21 from seeking urgent or interim relief before a court of competent jurisdiction, including injunctions or orders to protect intellectual property or confidential information.

15.3 Exclusive Jurisdiction

Subject to the alternative dispute resolution provisions above, each party irrevocably agrees that the courts of Cairo, Arab Republic of Egypt, shall have exclusive jurisdiction to hear and determine any Dispute or claim arising out of or in connection with these Terms or their subject matter.

Users hereby waive any objection to the exercise of such jurisdiction, including objections based on inconvenience or alternative forum.


 

15.4 Severability of Jurisdiction Clause

If any provision of this Section 16 is found to be invalid, illegal, or unenforceable by a court or arbitral tribunal, the remaining provisions shall remain in full force and effect. The parties’ intention to submit to Egyptian law and jurisdiction shall remain unaffected.


 

15.5 Good Faith and Amicable Resolution

Both EMRC21 and the User agree to act in good faith to resolve any Dispute arising under or in connection with these Terms.

Before initiating any formal legal proceedings, the parties shall make every reasonable effort to reach an amicable settlement through direct negotiation or written correspondence.

If the Dispute cannot be resolved within thirty (30) days of written notice from one party to the other, either party may refer the matter to mediation or arbitration as provided below, or proceed to litigation before the competent Egyptian courts.
